Društvo - Mali delničarji - Skupaj smo močnejši (v nadaljevanju: Društvo MDS) je nevladna organizacija, ki je nastala spontano, predvsem pa zaradi vse bolj očitne in izrazite potrebe po povezovanju, usklajenem delovanju ter aktivnejšem zastopanju malih delničarjev na skupščinah in delu gospodarskih družb.
Poudarek dela novega društva je na množičnosti, vključevanju različnih interesov v delo društva, ter uspešnem zastopanju na posameznih skupščinah gospodarskih družb. Cilja takšnega delovanja sta: uspešno upravljanje investicije ter promocija morebitnih uspehov organizacije in ne posameznika, z namenom osveščanja in izobraževanja malih delničarjev o njihovih pravicah in tudi dolžnostih.
Društvo MDS smo formalno ustanovili v mesecu aprilu 2009, vendar nam izkušenj z delom na področju zaščite in zastopanja interesov malih delničarjev ne manjka. Z njim se namreč ukvarjamo v različnih delovnih oblikah že od konca junija 2006. Društvo MDS pričakuje, da bo hitro raslo in vzpostavilo odbore malih delničarjev v vseh večjih podjetjih in finančnih holdingih, ki delujejo na območju Republike Slovenije. Organizirano smo nastopili v Istrabenzu, sedaj teče organizirano zbiranje pooblastil za skupščino Telekoma Slovenije in Krko.
V preteklosti lsmo bili priča veliki rasti tržne vrednosti delnice Luke Koper in nato strmega pada, kot posledice gospodarske recesije in verjetno mnogih negativnih pisanj o stanju v Luki. Ker menimo, da je med vami večina dolgoročnih vlagateljev, se nam zdi primerno da se samoorganiziramo, kot odgovorni lastniki pridobimo potrebne informacije, ter medsebojno pravočasno obveščamo. Naše društvo pozdravlja ustanovitev že ene organizacije malih delničarjev v Luki Koper in bo z veseljem sodelovalo tudi z njimi, saj le Skupaj smo močnejši. Namen našega delovanja je aktivnejše upravljanje investicije, saj na žalost nimamo predstavnika v Nadzornem svetu Luke Koper. Zato se bomo potrudili, da se ta praksa spremeni že na tej skupščini.
V Društvu - Mali delničarji – Skupaj smo močnejši, ki je tudi delničar Luke Koper smo ustanovili Odbor malih delničarjev Luke Koper. Kandidat našega društva za nadzorni svet je dr. Boštjan AVER.
Dr. Boštjan Aver univ. dipl. ekon. je doktoriral na Ekonomski fakulteti Univerze v Ljubljani, smer poslovodenje in organizacija. Od septembra 2007 dalje je predsednik uprave Vzajemne, d.v.z., pred tem je bil direktor sektorja za finance, računovodstvo in kontroling v Vzajemni, d.v.z. ter je bil član nadzornega sveta odvisne družbe Vzajemne in predsednik uprave ene od slovenskih ustanov in predsednik nogometnega kluba FC Koper, pod vodstvom katerega je bila izvedena uspešna sanacija nogometnega kluba. Od leta 2000 do začetka leta 2004 je bil zaposlen v Banki Koper, d.d., nazadnje kot vodja enote za Planiranje in nadzor. Aktivno sodeluje s Slovenskim združenjem za projektni management. Je bil predavatelj pri predmetu poslovne finance na Fakulteti za management Koper in od septembra 2007 dalje predava tudi na Evropski pravni fakulteti v Novi Gorici ter sodeluje kot predavatelj na GEA College in Ekonomski fakulteti univerze v Ljubljani. Je avtor številnih znanstvenih in strokovnih člankov in prispevkov predvsem s področja financ, računovodstva, kontrolinga in projektnega managementa. S svojim prispevkom je sodeloval tudi na določenih konferencah na slovenski in mednarodni ravni. Je član sveta Slovenskega zavarovalnega združenja, član uredniškega odbora revije Bančni vestnik in v fazi pridobivanja naziv docent za področje financ.
Od 18.12.2008 dalje je dr. Aver tudi predsednik nadzornega sveta Kapitalske družbe pokojninskega in invalidskega zavarovanja, d.d.
Dr. Boštjan Aver je tako izkušeni vodja velikega sistema in ima vse potrebne izkušnje za uspešno nadziranje velikega sistema, kot je Luka Koper, d.d. Je tudi imetnik certifikata ZČNS – Potrdilo za opravljanje funkcije člana nadzornega sveta in neizvršnega člana upravnega odbora.
Glede na dejstvo, da je v Luki Koper v preteklosti nismo bili organizirani, smo odločanje tako prepustili večini, kjer najbolj prevladuje država in občina. Zato smo se odločili, da ustanovimo Odbor malih delničarjev Luke Koper pri Društvu – Mali delničarji - Skupaj smo močnejši, ki bo zastopal interese vseh malih delničarjev na vseh prihodnjih skupščinah. Svoje upravljaljske pravice lahko uveljavimo le, če se združimo, zato vas vabimo, da postanete član Odbor malih delničarjev Koper in član Društva - Mali delničarji - Skupaj smo močnejši.
V društvu je zaživela spletna stran www.skupaj.si oz. www.skupaj.eu, kjer so in bodo na voljo vse tekoče informacije v zvezi z delovanjem Odbora malih delničarjev Luke Koper pri Društvu MDS. Načrtujemo tudi redno izmenjavo informacij z upravljalci in večjimi lastniki.
